Welcome to Nadia Apparel . These Terms & Conditions (“Terms”) govern all business relationships, agreements, and transactions with our clients, buyers, and partners. By engaging with our services or placing an order, you acknowledge and agree to these Terms.

1. Company Information

2. Scope of Services

  • Manufacturing and supply of knitwear, woven, and denim garments.
  • Product development, fabric sourcing, and sample preparation.
  • Order execution as per buyer specifications, purchase orders (PO), and agreements.
  • Export of finished garments to international buyers under agreed Incoterms.

3. Orders & Contracts

  • All orders must be confirmed in writing via Purchase Order (PO) or contract.
  • Once an order is confirmed, changes or cancellations are not accepted unless agreed in writing.
  • Minimum order quantities (MOQ) and lead times apply and will be specified at the time of agreement.
  • Product specifications (designs, fabrics, trims, packaging, labeling) must be clearly approved by the buyer before production.

4. Pricing & Payment

  • Prices are quoted FOB/C&F/CIF (as agreed) and are valid only for the specific order.
  • Payment terms must be agreed upon in advance:
    • Letter of Credit (L/C at sight)
    • Telegraphic Transfer (T/T) with agreed advance and balance terms
  • All bank charges outside Bangladesh are the buyer’s responsibility.
  • Production begins only after receiving confirmed payment arrangements.

5. Production & Delivery

  • Production lead time starts after final sample approval and receipt of agreed payment instruments.
  • Delivery timelines are approximate and may vary due to fabric availability, buyer approvals, shipping delays, or unforeseen circumstances.
  • Risk and title of goods pass to the buyer once the shipment leaves Bangladesh (as per agreed Incoterms).

6. Quality Assurance

  • Nadia Apparel follows strict quality control (inline, midline, and final inspections).
  • Third-party inspection (SGS, Bureau Veritas, Intertek, etc.) may be arranged at buyer’s cost if required.
  • Claims for defective products must be submitted in writing within 15 days of receiving goods, supported with evidence.

7. Compliance & Ethical Standards

  • Nadia Apparel complies with Bangladesh labor laws, health and safety standards, and international codes of conduct.
  • We support ethical sourcing and maintain policies against child labor, forced labor, and discrimination.
  • Buyers may conduct audits with prior notice.

8. Intellectual Property

  • All designs, logos, or trademarks provided by the buyer remain the property of the buyer.
  • Nadia Apparel may use them only for production and cannot reproduce them for any other purpose.
  • Factory’s original designs, branding, and content remain Nadia Apparel’s property.

9. Limitation of Liability

  • Nadia Apparel is not liable for delays or losses caused by events beyond our control (force majeure), including natural disasters, political unrest, strikes, or shipping disruptions.
  • Our maximum liability shall not exceed the invoiced value of the affected goods.

10. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Bangladesh.
  • Any disputes will be resolved amicably through negotiation. If unresolved, they shall be subject to arbitration under the Bangladesh Arbitration Act or legal proceedings in Dhaka courts.

11. Amendments

Nadia Apparel reserves the right to update or modify these Terms at any time. The revised version will apply to all future orders and agreements.
